Terms and Conditions of Sale
1. Application of the legal conditions
These Terms and Conditions shall apply to all the products offered by ORIGINAL BUFF, S.A. (hereinafter ORIGINAL BUFF or “we”, “us”) through its Website.
The products offered through this Website are available for sale in Argentina, Australia, Austria, Belgium, Bulgaria, Canada, Chile, Colombia, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hong Kong, Hungary, India, Ireland, Italy, Japan, Latvia, Lithuania, Luxembourg, Malaysia, Malta, Mexico, The Netherlands, New Zealand, Norway, Poland, Portugal, Romania, Singapore, Slovakia, Slovenia, South Africa, South Korea, Spain (Ceuta, Melilla and Canary Islands excluded), Sweden, Switzerland, Taiwan, Thailand, Turkey, United Kingdom and the United States of America.
We reserve the right to amend these Terms and Conditions of Sale, from time to time, without previous warning and according to its own requirements. Said conditions will become effective upon being displayed on the Website and shall take effect and will remain in force until amended and duly published on the Website. The Terms and Conditions of Sale posted on the Website at the time you place your order will govern that purchase.
2. Details concerning the purchase agreement: The Contracting Party.
If your order is shipping to Argentina, Australia, Austria, Belgium, Bulgaria, Canada, Chile, Colombia, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hong Kong, Hungary, India, Ireland, Italy, Japan, Latvia, Lithuania, Luxembourg, Malaysia, Malta, Mexico, Netherlands, New Zealand, Norway, Poland, Portugal, Romania, Singapore, Slovakia, Slovenia, South Africa, South Korea, Spain, Sweden, Switzerland, Taiwan, Thailand, Turkey and the United Kingdom, the contracting party is ORIGINAL BUFF, SA, C/ França, 16, 08700 Igualada (Barcelona), Spain, Fiscal Identification Code (CIF) A-58034000.
If your order is shipping to the United States, the contracting party will be our subsidiary:
Buff Inc. ,133 Aviation Blvd. Ste 105 Santa Rosa, CA 95403. The contract for the purchase sale and delivery of products will be between you and Buff Inc and subject to the Buff Inc’s Terms and Conditions (https://www.buff.com/us/terms-and-conditions)
If there is a conflict between these Terms and Conditions of Sale and the Buff Inc’s Terms and Conditions respectively, the Buff Inc’s Terms and Conditions will control with respect your purchase and the delivery of products.
3. Placing orders on the website
3.1 You need an e-mail address to place an order.
Our site will guide you through the steps you need to take to place an order and make a payment with us. Our order process allows you to check and amend any errors before submitting your order to us.
3.2 After you place an order, you will receive an e-mail from us acknowledging that we have received your order. The Contract between us will only be formed when you receive your order confirmation email.
3.3 We will send you an e-mail that confirms that the Products have been dispatched ("Dispatch Confirmation")
3.4 If we are unable to supply you with a product, we will inform you of this in writing as soon as possible and will not process the order.
3.5 To place an order on the Website, you must be at least 18 years old, or older if that is required under applicable law.
3.6 The Website is intended solely to sell BUFF® products direct to end consumers, not for resale. Purchase for resale is strictly prohibited. If we believe you are involved in purchase for resale, we reserve the right to take any action against you, including, without limitation, to restrict sales to you, cancel your orders, and/or suspend or close your account.
3.7 When you send us your order, we shall run some checks on it before it is fulfilled. These checks may include verifying your address and checking for fraud. We run partly automated checks on all purchases to filter out unusual or suspect transactions, or transactions which can be identified as susceptible to fraud. Suspected fraud on the website will be investigated and if necessary prosecuted.
3.8 By placing an order or making a payment through our site, you warrant that you are legally capable of entering into binding contracts. You warrant that all the information provided to us for the purpose of processing payments is correct and you are authorized to utilize the proffered payment method. We reserve the right to cancel your order at any stage, in the event that we are unable to verify the information you provide, or the payment method that you have selected. In the event of a cancellation by us, we will refund you the full amount that you have paid.
4. Prices and offers
Prices of the products will be as displayed on the website.
All product prices displayed on the website are indicated in the local currency.
The price of your order will be quoted including or excluding taxes depending on the delivery address:
(a) Products delivered to Austria, Belgium, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Ireland, Italy, Latvia, Lithuania, Luxembourg, Malta, The Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, and United Kingdom will be quoted inclusive of value added tax.
(b) Products delivered within Canada, Bulgaria, Hong Kong, India, Japan, Mexico, Singapore, South Korea, Switzerland, Taiwan, Thailand, Turkey, Argentina, Australia, Chile, Colombia, Malaysia, New Zealand and South Africa will be quoted exclusive of sales tax.
Shipping costs are not included in the price; these will be added at the checkout and will be indicated as a separate charge on your order form (except, in circumstances where free shipping is offered). For details on shipping rates see the section 6 of these terms and conditions of sale.
If your local currency is different from the currency in which the prices are shown, your bank will apply the exchange rate applicable per the date of purchase. Your bank may apply a different exchange rate, which is beyond our control.
All our products are shipped from Igualada (Barcelona, Spain), except in the case of orders to be shipped to the United States of America.
For orders that will be delivered to countries outside of the EU customs charges and import duties, if applicable, are not included in the price of the item or in the cost of ship and packaging and must be paid by the recipient of the goods. We shall accept no liability in respect of said obligations that must be respected by the user. We do not provide service of determining the appropriate taxes and duties to be applied to the importation of the Products by you.
We take all reasonable care to ensure that the price of the product advised to you is correct. It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We will normally check prices before accepting your order so that, where the product's correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the product's correct price at your order date is higher than the price stated to you, we will contact you for your instructions before we accept your order. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid and require the return of any goods provided to you.
We reserve the right to remove any product from the website at all times. Prices may change from time to time, but changes will not affect any order which we have confirmed.
All the products offered at a special price (products on offer) will be shown on the Website with the following information: offer price, usual price. And it will never be able to apply other voucher codes.
We make every effort possible to show the colours of its products as close to the actual colours as possible. Nevertheless, the colour of multifunctional neckwear and technical clothing may vary depending on the light and quality of the photograph, your computer screen or other factors beyond our control. Please contact us if you have any doubts concerning the colour of our products.
The packaging of the product may vary from what may be shown in images on our website.
5. Terms of payment
You can find information on the available payment methods for each country in the FAQ section of buff.com (https://support.buff.com/hc/en-gb/articles/21994471077010-Payment-methods) and at the point of the check out - payment during the purchase process.
You own a product once we have received payment in full of such product
6. Delivery: times and costs
Shipping rates are applied per order. The exact shipping rates depend on the country where your order is being delivered to.
Please refer to our FAQ section (https://support.buff.com/hc/en-gb/articles/21995162314386-What-are-the-shipping-costs) to find updated and completed information on shipping costs and times.
Where possible, we try to deliver all items which you have ordered at the same time.
We reserve the right to split the delivery of your order, for instance if part of your order is delayed or unavailable. In the event that we split your order, we will notify you of our intention to do so by sending you an email to the email address provided by you. You will not be charged for any additional delivery costs.
Upon delivery, please inspect the packaging for damage. If it appears that the products are damaged, please do not accept the shipment.
If you make a purchase that exceeds the threshold relevant to your delivery country, you will receive FREE ‘standard delivery’, or the option of discounted ‘express delivery’. Other conditions may also qualify you for free shipping. See the FAQ section of the Website for threshold amounts and their corresponding discounted delivery rates.
We are not responsible for delays outside our control. If our supply of the products is delayed by an event outside our control, then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay (more than 30 days) you may contact us to end the contract and receive a refund for any products you have paid for but not received.
Shipments to islands and overseas
For Spain, United Kingdom, France and The Netherlands countries, please note that we do not send out products to the following territories:
Ceuta, Melilla, Canary Island, Guadeloupe, Guyane, Mayotte, Réunion, Saint Martin, Saint Barthélemy, Saint Pierre and Miquelon, French Polynesia and Wallis and Futuna, New Caledonia. Aruba, Netherlands Antilles, Bonaire, Saba and Saint Eustatius. Channel Islands, Bermuda, British Antarctic Territory, British Indian Ocean Territory, British Virgin Islands, Cayman Islands, Falkland Islands, Montserrat, Gibraltar, Pitcairn Islands, Saint Helena, Ascension and Tristan da Cunha, South Georgia and the South Sandwich Islands, Turks and Caicos Islands.
7. General terms of use for BUFF® Gift Cards
7.1 The Gift Card (the Card) is the property of its issuer, which may be ORIGINAL BUFF, SA, or Buff Inc., depending on where the card was purchased (hereinafter referred to as BUFF®, or “us” or “we”). The issuer’s identity is indicated on the physical card itself or in the email accompanying the virtual card. The cardholder is merely a custodian of the card.
7.2 The Card is available in the following formats:

Physical card – sold in BUFF® retail stores located in Spain (BUFF® stores). The issuer of the card is ORIGINAL BUFF, SA.

Virtual card – sold online at www.buff.com. The issuer is ORIGINAL BUFF, SA, except when the card is purchased through www.buff.com/us (USA), in which case the issuer Buff Inc.
7.3 Both physical and virtual cards can be used to purchase any BUFF® product listed as available on www.buff.com, according to the specific list of supported countries. The physical card allows purchases only in the country where it was bought and cannot be used on a BUFF® website for a different country.

7.4 The Card can be paid for using any accepted payment method at BUFF® stores or www.buff.com, depending on where the card is purchased. It cannot be paid for with another gift card.
7.5 The Card balance cannot be refunded or exchanged for cash. However, like other products sold by BUFF® in stores or online, unused cards may be returned under the following conditions, and always within the legally established timeframe:

Physical or virtual cards purchased at BUFF® stores or www.buff.com can be returned within 30 days of the purchase date.
The refund will be processed using the original payment method. The original purchase receipt or return document (depending on whether the Card was bought in-store or online) is required, along with the payment card and proof of transaction.

7.6 The Card can be used as many times as desired until the total balance has been spent.
7.7 The available balance on the Card at any time is calculated as the difference between the balance prior to a purchase and the amount used for that purchase. If the purchase exceeds the card balance, the difference can be paid using any accepted payment method on www.buff.com.
7.8 The current balance can be checked in the “My Gift Cards” section under “My Account” on the BUFF® website, which requires a registered account on www.buff.com. Unless proven otherwise, the balance displayed on www.buff.com will be considered the valid balance.
7.9 Products purchased with a BUFF® Gift Card on www.buff.com are subject to the return and exchange policy of that website.
In the case of a return, the refund will be processed as follows:

By adding the amount back to the balance of the same gift card, if it still exists at the time of the return.

If part of the order was paid using a different payment method, that portion will be refunded to the original payment method used.
These refund methods are an essential condition and are considered explicitly accepted by purchasing and/or using the Card.
7.10 The Card is a bearer instrument. The holder is solely responsible for its safekeeping and use. The Card will not be replaced in case of theft, loss, misplacement, or damage, although BUFF® reserves the right to replace it if the card format is changed.
7.11 If the virtual card is purchased on www.buff.com, BUFF® is not responsible for non-receipt or delays in receipt by the recipient due to reasons beyond BUFF®’s control, including but not limited to:

failures or overloads in telecom lines or systems,
-
delays or loss of data or information during transmission,
-
incorrect recipient email address provided by the purchaser,
-
inability to deliver to the provided email address,
-
the email being marked as spam or junk.
If the card is not received within 72 hours, the user may contact Customer Service via the provided form, referencing the original order number.
7.12 Cards obtained through illicit means are void, cannot be used for purchases, and will not be refunded.
7.13 The Card may not be used for advertising or promotional purposes related to products or services of third parties not affiliated with the card issuer, unless previously authorized in writing.
7.14 The purchase and/or use of the Card implies full acceptance of these terms, which are provided at the time of purchase and are also available at www.buff.com.
8. Custom products
Personalised products are not available currently.
9. Guarantee
We shall be liable for any lack of conformity which exists at the time the goods are delivered.
The statutory rights according to the mandatory law in the jurisdiction of the country of habitual residence of the consumer applies.
For Consumers in the European Union, we remind you that under EU law, we are liable for any lack of conformity in a product bought through the website that becomes apparent within two years from delivery of the product. For consumers in Spain, the guarantee period is of three years.
The foregoing does not limit the statutory rights according to the applicable law.
Defects or imperfections due to incorrect use or handling of the material or the wear and tear caused by normal use of said item are not covered by this legal guarantee.
Furthermore, reduced functionality of items, due to the design limitations of the items are also excluded from the cover of this guarantee.
10. Returns & Cancellations policy

When the contracting party is ORIGINAL BUFF, SA, this is the return and cancellation policy that applies:
RETURN IN CASE OF DEFECTIVE OR NON-IN CONFORMITY PRODUCTS
You are entitled to return products delivered to you in the event that they are defective or otherwise not in conformity with your order when you received them. In the event your claim is justified, we will refund you the purchase price and the shipping costs. For information on how to return, please see the FAQ section https://support.buff.com/hc/en-gb/categories/21994611877906-RETURNS of Buff.com.
Under EU law, we remind you that we are liable to you for any lack of conformity in a product that becomes apparent within a minimum of 2 years from delivery and within 3 years in the case of orders shipped to Spain. You have several statutory rights in this context.
YOUR RIGHT OF WITHDRAWAL
You have a right to change your mind within 30 days from the day after the order has been received and receive a refund, without giving us any reason.
In such case, you will be required to return the Products to us in order to be eligible for refund. You are responsible for paying the cost of return (the shipping and handling costs associated with sending your cancelled order back to us).
If you use your right of withdrawal, you must send off the products to us without undue delay within the 30 days of telling us you wish to end the contract and we will:

refund you the price you paid for the Products;

refund the amount of duties and taxes that were paid (if originally charged by Original Buff, S.A.);
-
refund any costs you have paid for delivery to you, although, as permitted by law, the maximum refund will be the costs of delivery by the least expensive delivery method.
The costs of return of product when you exercise your right of withdrawal have to be paid by you.
Refunds will be issued within fourteen (14) days from the day on which we receive the product back from you in perfect conditions.

Please, note these terms are more generous than your legal rights under the EU laws in the ways set out below. This does not affect your legal rights in relation to defective or non-in conformity products:

11. Customer liability
The Customer represents and warrants that all the information provided is truthful and accurate and will be liable for any harm, direct or indirect, caused to us resulting from the incorrect nature of said information.
Furthermore, the customer undertakes to render the delivery of the order possible by providing a delivery address to which the product can be delivered during normal working hours (from Monday to Friday: from 9 am to 6 pm).
Failure to respect any of these conditions may result in the order being cancelled by us without it needing to forewarn the customer and without the latter being entitled to any compensation.
12. Protecting personal data

13. Force Majeure event
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by an Event of Force Majeure or outside our control,
An Event of Force Majeure means (1) any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks, backorder situations or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; (2) that we could not reasonably be expected to have taken into account the impediment and its effects upon our ability to perform at the time of the conclusion of the purchase contract agreement, and (3) that we could not reasonably have avoided or overcome it or its effects.
If an Event of Force Majeure takes place and affects the performance of our obligations under a Contract:

we will contact you as soon as reasonably possible to notify you; and
-
our obligations under a Contract will be suspended and the time for performance of our obligations will be extended for the duration of the Event of Force majeure. Where the Event of Force Majeure affects our delivery of Products to you, we will arrange a new delivery date with you after the Event of Force Majeure is over.
You may cancel a Contract affected by an Event of Force Majeure which has continued for more than 30 days from the date of order. To cancel please contact us. If you opt to cancel, you will have to return any relevant Products you have already received, and we will refund the price you have paid, including any delivery charges (where applicable).
14. Governing law and Jurisdiction.
14.1 As a consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these terms and conditions, including this section, affects your rights as a consumer to rely on such mandatory provisions of local law.
14.2 To the extent allowed under applicable law, and without limitation to any statutory rights for consumers , (i) The agreement and these Terms and Conditions of Sale shall be governed by Spanish law and not by the U.N Convention on Contracts for the International Sale of Goods and (ii) In the event of any dispute arising in relation to these Terms and Conditions of Sale or the contract of purchase both parties agree that the Courts of Barcelona (Spain) will have non-exclusive jurisdiction.
14.3 For consumers residents in Spain.
If you are a consumer habitually resident in Spain, the governing law shall be the Spanish Law and the competent Courts in which you have your habitual residence or in which the fulfilment of the obligation must take place will have jurisdiction.

7. Customized products
For customized BUFF® products you can submit a design. The design (the colour combination, letters, icons etc...) and the personalization when submitted by you may be created by (i) using our proposed pattens, icons and typographies, made available by us during the design process or (ii) may be created by you. To the extent that this is not the case, you hereby guarantee that you are authorized to use the design, or the personalization created by someone else.
Please understand that whilst we have the right to decline your proposed personalization or design, you are solely responsible for its design and personalization, and we have no obligation to review or decline your proposed design or personalization. In particular, without limitation, it will be rejected the proposed design that contains a trademark belonging to third party, the names of sports teams, athletes or celebrities that you/ neither us do not have the right to use, or because it contains material that we consider inappropriate (as insulting or discriminatory content, etc…) . If we reject your proposed design you will be notified as soon as possible by email.
You agree to indemnify, defend and hold harmless us, our affiliates, respective directors, officers, employees, agents, successors and assigns harmless from and against any all costs, liabilities, losses, damages, penalties, fines and expenses (including reasonable attorneys’ fees), settlements, claims, allegations, actions or suits incurred by or asserted against us, our affiliates, respective directors, officers, employees, agents, successors and assigns in connection with or arising out of any claim made by a third party alleging a violation of any intellectual property rights by the personalization of the products, including but not limited to patent, trademark or copyright infringement. Upon our request, you will promptly provide to us a written statement of authorship and/or authorization granted to use the design, or the personalization created by someone else.
In the event that the design or personalization is created by using our proposed patterns as backgrounds, icons art designs and typographies, made available by us during the design process, such work is a copyrighted artwork by us. You undertake no to use and reproduce the artwork in any other support and by any means.
In the event the design and personalization are created by you, such design and personalization are qualified as “Customer Content” and the following terms apply: you represent that you has the right to use the “Customer Content” and you grants to us a non-exclusive, perpetual, transferable, sub-licensable, royalty-free, worldwide license to use any of the Customer Content used in connection with the website, including any of the concepts or ideas contained in the Customer Content, for any purpose, including but not limited to commercial use, which includes the right to translate, display, reproduce, modify, create derivative works, sublicense, distribute and assign these rights, developing, manufacturing and marketing products and services and creating, modifying or improving products and services.
7. Guarantee
We remind you that under EU law, we are liable for any lack of conformity in a product bought through the website that becomes apparent within three years from delivery of the product. You have several statutory rights in this context.
The foregoing does not limit the statutory rights according to the applicable law.

The costs of return of product when you exercise your right of withdrawal have to be paid by you.
Refunds will be issued within fourteen (14) days from the day on which we receive the product back from you in perfect conditions.

Please, note these terms are more generous than your legal rights under the EU laws in the ways set out below. This does not affect your legal rights in relation to defective or non-in conformity products:

CUSTOMIZED PRODUCTS
Orders of customized products cannot be cancelled or returned as the production of the customized products starts immediately after the order is placed and they are personalized products.
We take all reasonable care through IA technology (Amazon Rekognition) to check and ensure that your submitted design during the purchase process does not contain material that we consider inappropriate (as insulting or discriminatory content, etc…). It is always possible that, despite our effort, some submitted design are incorrectly approved, and contains a trademark belonging to third party, the names of sports teams, athletes or celebrities that you/neither us do not have the right to use, or material that we consider inappropriate. If we reject your proposed design in such case, you will be notified as soon as possible by email, we will cancel your order and refund the price and costs you paid.
9. Customer liability
The Customer represents and warrants that all the information provided is truthful and accurate and will be liable for any harm, direct or indirect, caused to us resulting from the incorrect nature of said information.
Furthermore, the customer undertakes to render the delivery of the order possible by providing a delivery address to which the product can be delivered during normal working hours (from Monday to Friday: from 9 am to 6 pm).
Failure to respect any of these conditions may result in the order being cancelled by us without it needing to forewarn the customer and without the latter being entitled to any compensation.

11. Force Majeure event
We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that is caused by an Event of Force Majeure or outside our control,
An Event of Force Majeure means (1) any act or event beyond our reasonable control, including without limitation strikes, lock-outs or other industrial action by third parties, civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war, fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster, or failure of public or private telecommunications networks, backorder situations or impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport; (2) that we could not reasonably be expected to have taken into account the impediment and its effects upon our ability to perform at the time of the conclusion of the purchase contract agreement, and (3) that we could not reasonably have avoided or overcome it or its effects.
If an Event of Force Majeure takes place and affects the performance of our obligations under a Contract:
- We will contact you as soon as reasonably possible to notify you; and
- Our obligations under a Contract will be suspended and the time for performance of our obligations will be extended for the duration of the Event of Force majeure. Where the Event of Force Majeure affects our delivery of Products to you, we will arrange a new delivery date with you after the Event of Force Majeure is over.
You may cancel a Contract affected by an Event of Force Majeure which has continued for more than 30 days from the date of order. To cancel please contact us. If you opt to cancel, you will have to return any relevant Products you have already received, and we will refund the price you have paid, including any delivery charges (where applicable).
12. Governing law
To the extent allowed under applicable law, and without limitation to any statutory rights for consumers , The agreement and these Terms and Conditions of Sale shall be governed by Spanish law and not by the U.N Convention on Contracts for the International Sale of Goods and In the event of any dispute arising in relation to these Terms and Conditions of Sale or the contract of purchase both parties shall expressly submit to the jurisdiction of the Courts of Barcelona exclusively.

13. Governing law and Jurisdiction
13.1 As a consumer, you will benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these terms and conditions, including this section, affects your rights as a consumer to rely on such mandatory provisions of local law.
13.2 To the extent allowed under applicable law, and without limitation to any statutory rights for consumers , (i) The agreement and these Terms and Conditions of Sale shall be governed by Spanish law and not by the U.N Convention on Contracts for the International Sale of Goods and (ii) In the event of any dispute arising in relation to these Terms and Conditions of Sale or the contract of purchase both parties agree that the Courts of Barcelona (Spain) will have non-exclusive jurisdiction.
13.3 For consumers residents in Spain
If you are a consumer habitually resident in Spain, the governing law shall be the Spanish Law and the competent Courts in which you have your habitual residence or in which the fulfilment of the obligation must take place will have jurisdiction.
